Important

These Affiliate Program Terms ("Affiliate Terms") constitute a legally binding agreement between you ("Affiliate," "you," or "your") and Bulk Email Checker ("Company," "we," "us," or "our") governing your participation in the Bulk Email Checker Affiliate Program (the "Program"). These Affiliate Terms apply in addition to the Terms of Service, which remain in full force and effect and continue to govern your use of the Services. The Affiliate Terms supplement, and are incorporated into, the Terms of Service, and as an Affiliate you are bound by both. You accept these Affiliate Terms by selecting "I agree" when you join the Program. If you do not agree to these Affiliate Terms, you may not participate in the Program.

1. Definitions

1.1. Defined Terms. Capitalized terms not defined in these Affiliate Terms have the meanings given to them in the Terms of Service. In addition:

  • "Referral Code" means the unique code assigned to you upon joining the Program.
  • "Referral Link" means a link to the Bulk Email Checker website that contains your Referral Code, as described in Section 3.1.
  • "Tracking Cookie" means the cookie placed in a visitor's browser when the visitor follows a Referral Link.
  • "Referred Customer" means a person who creates a new Bulk Email Checker account while a Tracking Cookie carrying your Referral Code is active, as described in Section 3.
  • "Sign-Up Date" means the date on which a Referred Customer's account is created.
  • "Qualifying Purchase" means a completed purchase made by a Referred Customer and paid in full.
  • "Commission" means the amount credited to you in respect of a Qualifying Purchase under Section 4.
  • "Hold Period" means the forty-five (45) day period described in Section 5.
  • "Affiliate Balance" means the running total of your Commission, less Commission withdrawn, reversed, or forfeited under these Affiliate Terms.

2. Eligibility and Enrollment

2.1. Customers Only. The Program is open only to holders of a Bulk Email Checker account in good standing that has completed at least one (1) purchase of the Services.

2.2. Purpose of the Customer Requirement. The Program is limited to customers so that those who recommend Bulk Email Checker know the Services first hand, including how verification works, what verification results mean, and how credits work, and can therefore give accurate guidance to the people they refer.

2.3. Exceptions. Bulk Email Checker may, in its sole discretion and by prior written permission, admit an applicant that does not meet the requirement in Section 2.1, such as an agency or business partner. An exception applies only to the account for which it is granted and does not waive any other provision of these Affiliate Terms.

2.4. Age Requirement. You must be at least eighteen (18) years of age to participate in the Program. There are no exceptions to this requirement. By accepting these Affiliate Terms, you represent and warrant that you meet this requirement. Bulk Email Checker may request proof of age at any time and may remove from the Program any Affiliate who does not meet it.

2.5. General Requirements. To participate in the Program you must also satisfy the eligibility requirements of Section 1 of the Terms of Service, except that the age requirement for the Program is governed solely by Section 2.4. Because each individual may maintain only one (1) personal account under Section 1.4 of the Terms of Service, each individual may hold only one (1) Program enrollment.

2.6. Acceptance. You enroll in the Program by selecting "I agree" in the enrollment window displayed in your account control panel. Your Referral Code is issued only after you accept these Affiliate Terms. Your electronic acceptance has the same force and effect as a handwritten signature.

2.7. Right to Decline. Bulk Email Checker may accept or decline any application to join the Program, or any request for reinstatement, in its sole discretion.

3. Referral Links and Attribution

3.1. Referral Links. Your Referral Link takes the form bulkemailchecker.com/r/CODE/, where CODE is your Referral Code. The same Referral Code may be added to the address of other pages on the Bulk Email Checker website (for example, bulkemailchecker.com/pricing/r/CODE/), and such a link operates in the same manner.

3.2. Tracking Period. When a visitor follows a Referral Link, a Tracking Cookie is placed in the visitor's browser and remains active for thirty (30) days from the date of the click.

3.3. Last Click Attribution. Attribution is determined on a last click basis. If a visitor follows the Referral Links of more than one affiliate, the most recent click replaces any earlier click, and only the affiliate whose Referral Link was most recently followed is eligible for credit.

3.4. Credited Sign-Ups. A new account is credited to you as a Referred Customer only if it is created while a Tracking Cookie carrying your Referral Code is active. Accounts created after the Tracking Cookie has expired, been replaced, or been removed are not credited. Existing customers of Bulk Email Checker cannot become Referred Customers.

3.5. Tracking Limitations. Attribution depends on the Tracking Cookie being accepted and retained by the visitor's browser. Bulk Email Checker is not responsible for sign-ups that are not credited because a visitor blocked or deleted cookies, used a different browser or device, or otherwise prevented tracking. Bulk Email Checker's tracking records are the sole and final basis for determining attribution and Commission.

4. Commission

4.1. Commission Rates. You earn Commission equal to a percentage of each Qualifying Purchase made by a Referred Customer. The applicable rate depends on the date of the purchase, counted from the Referred Customer's Sign-Up Date:

Purchase madeRate
Days 1 through 30 after the Sign-Up Date12%
Days 31 through 365 after the Sign-Up Date8%
Day 366 onward, for as long as the Referred Customer remains a customer4%

4.2. Commission Basis. Commission is calculated on the amount actually paid by the Referred Customer for the Qualifying Purchase. No Commission is earned on any amount the Referred Customer did not pay, including discounts and any credits or Services provided free of charge.

4.3. Duration. Subject to Sections 6, 14, and 15, Commission continues to accrue on Qualifying Purchases for as long as the Referred Customer remains a customer of Bulk Email Checker.

4.4. Changes to Rates. Bulk Email Checker may change the Commission rates at any time. A change applies only to Qualifying Purchases made after the change takes effect. Commission already earned keeps the rate at which it was earned.

4.5. Currency. Commission is calculated and recorded in United States dollars.

4.6. Information Provided to You. For each Referred Customer, the Program shows you only the total amount spent by that Referred Customer and the Commission earned from it. Bulk Email Checker does not disclose the identity, contact details, or User Content of any Referred Customer to you.

5. Hold Period

5.1. Hold. Each Commission is held for forty-five (45) days from the date of the Qualifying Purchase to allow for refunds and chargebacks. Commission cannot be withdrawn during the Hold Period.

5.2. Release. At the end of the Hold Period, the Commission becomes available for withdrawal under Section 7, subject to Sections 6 and 14.

6. Refunds, Chargebacks, and Fraud

6.1. Reversal. If a Qualifying Purchase is refunded, charged back, disputed, or found by Bulk Email Checker to be fraudulent, the Commission on that purchase is reversed. Where only part of a purchase is refunded or charged back, the Commission on that part is reversed.

6.2. Timing. A reversal may occur at any time, including after the Hold Period has ended and after the Commission has been withdrawn.

6.3. Negative Balance. A reversal may reduce your Affiliate Balance below zero. A negative Affiliate Balance is offset against Commission you earn in the future until it is restored to zero, and no withdrawal may be requested while your Affiliate Balance is negative.

6.4. Fraud and Breach. Where a reversal results from your own fraud, from fraud that you arranged, encouraged, or participated in, or from your breach of Section 9 or Section 10, including fraudulent, self-referred, or collusive purchases, Bulk Email Checker may recover the full amount of any Commission paid or credited to you on those purchases by any lawful means, including legal action. This right is in addition to the remedies in Section 14 and your obligations under Section 20.

7. Withdrawals

7.1. Withdrawal Methods. You may withdraw Commission that has completed the Hold Period by either of the following methods:

  • Account Credits: minimum withdrawal of five dollars ($5.00). Each one dollar ($1.00) withdrawn is converted into one thousand five hundred (1,500) verification credits, which are added to your Bulk Email Checker account.
  • PayPal: minimum withdrawal of one hundred dollars ($100.00), paid to the PayPal account you designate, subject to the tax form requirement in Section 8.1.

7.2. Account Credits. Verification credits issued under Section 7.1 are governed by the Terms of Service in the same manner as purchased credits and cannot be converted back into Commission or cash.

7.3. PayPal Payouts. PayPal withdrawals are processed manually and are sent within seventy-two (72) hours of your withdrawal request, subject to Sections 7.5, 7.6, and 8.1. You are responsible for providing a valid PayPal account capable of receiving the payment. Bulk Email Checker is not responsible for payments sent to a PayPal account you designated in error.

7.4. Currency, Fees, and Returned Payouts. All payouts are made in United States dollars only. Any fee charged by PayPal for a payout, and any currency conversion performed by PayPal or your financial institution, is deducted from or borne by the amount you receive. If a payout is returned, rejected, or left unclaimed, the amount Bulk Email Checker recovers is restored to your Affiliate Balance.

7.5. Withholding. Bulk Email Checker may delay or withhold a withdrawal while it investigates a suspected violation of these Affiliate Terms or a suspected fraudulent Qualifying Purchase, or where a payment may be prohibited under Section 13.

7.6. Account Security and Payout Notifications. You are responsible for keeping your account credentials secure, as provided in Sections 1.2 and 1.3 of the Terms of Service. When a PayPal withdrawal is requested from your account, Bulk Email Checker sends a notification to the email address on your account before the payout is sent. You are responsible for monitoring that email address and for notifying Bulk Email Checker at the address in Section 22 before the payout is sent if you did not make the request. Bulk Email Checker is not liable for, and will not reimburse, any withdrawal made from your account by an unauthorized person, except to the extent Bulk Email Checker recovers the funds.

8. Taxes

8.1. Tax Forms for Cash Payouts. Before Bulk Email Checker processes your first PayPal withdrawal, you must provide a completed and signed IRS Form W-9 if you are a United States person, or the applicable IRS Form W-8 (such as Form W-8BEN or Form W-8BEN-E) if you are not. Bulk Email Checker uses this information to issue a Form 1099 where required by law. PayPal withdrawals will not be processed until a valid form has been received, and you must provide an updated form if your information changes.

8.2. Reporting. Bulk Email Checker may report Commission paid to you to the Internal Revenue Service and any other tax authority as required by applicable law.

8.3. Tax Responsibility. Bulk Email Checker does not withhold any taxes from Commission or payouts. You are solely responsible for reporting and paying all taxes arising from Commission paid or credited to you. If Bulk Email Checker is ever required by law to withhold tax from a payment, it will do so, and the amount withheld will be deducted from the payment.

9. Promotion Standards

9.1. Honest Promotion. You agree to promote Bulk Email Checker honestly: no spam, no self-referrals, and no bidding on our brand name in paid search. Section 10 sets out these and other prohibited practices in full.

9.2. Accuracy. Any statement you make about the Services, their pricing, or their results must be accurate and current. You may not promise or imply results that the Services do not guarantee, including any guarantee of verification accuracy, which Bulk Email Checker does not provide under Section 6.2 of the Terms of Service.

9.3. Disclosure. Wherever you share a Referral Link, you must clearly identify yourself as an independent affiliate of Bulk Email Checker and disclose that you may earn Commission, in accordance with applicable law, including the endorsement and testimonial guidelines of the United States Federal Trade Commission.

9.4. Compliance with Law. You are solely responsible for ensuring that your promotional activities comply with all applicable laws and regulations, including anti-spam, consumer protection, advertising, and privacy laws.

9.5. Promotional Channels. You may share your Referral Link through any lawful channel that complies with these Affiliate Terms, subject to the following conditions for the channels described below.

9.5.1. Email to Your Own Subscribers. You may include a Referral Link in email sent to a list that you own and maintain, provided that every recipient has affirmatively opted in to receive commercial email from you. Each message must clearly identify you as its sender, contain a working unsubscribe option, and be removed from future mailings upon request within the time required by law. For purposes of applicable anti-spam law, you, and not Bulk Email Checker, are the sender of each such message. You must retain a record of how and when each recipient gave consent and produce that record to Bulk Email Checker upon request. Lists that are purchased, rented, shared, scraped, or otherwise obtained without the recipient's direct consent to hear from you may not be used.

9.5.2. Pay-Per-Click Advertising. Pay-per-click advertising, including paid search advertising on Google, Microsoft Bing, or any other search engine, is not allowed without the prior written permission of Bulk Email Checker. Where permission is granted, Section 10 continues to apply in full, including the prohibitions on bidding on Bulk Email Checker trademarks and coupon terms.

9.5.3. Social Media. You may promote the Services through organic posts and paid advertising on social media platforms, provided that you comply with the terms and advertising policies of each platform you use. Your profiles, pages, and advertisements must be clearly presented as your own and must not suggest that they are operated or endorsed by Bulk Email Checker.

9.5.4. Incentives, Coupon, and Deal Sites. Unless Bulk Email Checker has given its prior written permission, you may not reward or compensate any person for clicking a Referral Link, creating an account, or making a purchase, whether through cash back, points, prizes, discounts, or any other benefit, and you may not list your Referral Link on coupon, deal, cash back, or rewards websites.

9.5.5. Bundling. With the prior written permission of Bulk Email Checker, you may promote the Services together with other products or services as part of a bundle. Any permitted bundle must describe the Services accurately, must not be presented as an offering of Bulk Email Checker, and must not involve the resale of the Services. Every purchase of the Services must be made directly with Bulk Email Checker.

10. Prohibited Conduct

10.1. Prohibited Practices. In connection with the Program, you shall NOT:

  • Engage in any activity that is unlawful or that violates the rights of any person, or use the Program for any unlawful purpose
  • Commit or attempt any fraud, including fraudulent transactions, false or manipulated referrals, and any other form of affiliate fraud
  • Send spam or any other unsolicited email, or otherwise distribute a Referral Link in a manner that violates Section 2.2 of the Terms of Service or applicable anti-spam legislation
  • Make a self-referral, including by referring your own other accounts, your teammates or Teams subaccounts, or any person or account on whose behalf you make purchases
  • Arrange, encourage, or take part in any purchase made for the purpose of generating Commission that is later refunded, charged back, or disputed, or otherwise collude with any person to obtain Commission that would not be earned through a genuine referral
  • Bid on, or otherwise target in paid search or any other keyword-based advertising, any trademark of Bulk Email Checker, including the name "Bulk Email Checker," any close variation of it such as misspellings and compound forms like "BulkEmailChecker," and the domain bulkemailchecker.com, whether alone or combined with other words
  • Bid on, or otherwise target in paid search or any other keyword-based advertising, any term that suggests a Bulk Email Checker coupon, promo code, discount, or deal is available, such as "Bulk Email Checker coupon" or "Bulk Email Checker promo code"
  • Infringe or misappropriate the intellectual property or other proprietary rights of Bulk Email Checker or any third party, including by using any trademark, trade name, copyrighted material, or other protected content without authorization
  • Fail to disclose your affiliate relationship as required by Section 9.3, or otherwise promote the Services in violation of the endorsement, testimonial, or advertising rules of the United States Federal Trade Commission or any equivalent authority
  • Engage in any deceptive, misleading, or unfair practice, including false or misleading claims about the Services, their pricing, or their results, and fabricated reviews, testimonials, or endorsements
  • Engage in cookie stuffing, forced clicks, or any other method of placing a Tracking Cookie without a visitor's deliberate click, including through browser extensions, adware, pop-ups, pop-unders, or hidden frames, or generate any fake, automated, or otherwise artificial traffic
  • Present yourself as Bulk Email Checker, or in any way that suggests you are Bulk Email Checker or act on its behalf, including by registering any domain name, social media account, or business name that contains a Bulk Email Checker trademark or anything confusingly similar to it
  • Accept payment, take orders, provide customer support, or enter into any transaction or agreement in the name of or on behalf of Bulk Email Checker
  • Offer any rebate, coupon, cash back, share of your Commission, or other form of kickback to induce a person to click a Referral Link, sign up, or make a purchase, unless permitted in writing under Section 9.5.4, consistent with the prohibition on unauthorized incentives in Section 2.2 of the Terms of Service
  • Recruit sub-affiliates, sell or transfer your Referral Link, or allow any other person to promote the Services using your Referral Code
  • Place a Referral Link in any inappropriate advertisement, or on or alongside any content that is unlawful, defamatory, obscene, sexually explicit, violent, hateful, harassing, or infringing, or otherwise associate Bulk Email Checker with such content
  • Interfere with, manipulate, or attempt to circumvent the Program's tracking, attribution, or fraud prevention systems

10.2. Determination. Bulk Email Checker shall determine, in its sole discretion, whether conduct violates this Section 10.

11. Trademarks and Materials

11.1. Limited License. Subject to these Affiliate Terms, Bulk Email Checker grants you a limited, non-exclusive, non-transferable, revocable license to use the Bulk Email Checker name solely to identify and promote the Services in connection with your Referral Link. This license is a written authorization for the purposes of Section 3.2 of the Terms of Service and extends no further than this Section 11.

11.2. Restrictions. You may not alter the Bulk Email Checker name or logo, combine them with other marks, or use them in any manner that is misleading or that disparages Bulk Email Checker. All goodwill arising from your use of the Bulk Email Checker name inures solely to Bulk Email Checker.

11.3. Revocation. The license in Section 11.1 ends automatically when your participation in the Program ends, and Bulk Email Checker may revoke it at any time.

12. Confidentiality

12.1. Confidential Information. "Confidential Information" means any non-public information concerning Bulk Email Checker that you obtain through the Program or your account, including information about its systems, software, infrastructure, tracking and attribution methods, fraud prevention measures, internal tools, unannounced products, pricing, or promotions, and any communication that is marked confidential or that a reasonable person would understand to be confidential.

12.2. Obligations. You shall use Confidential Information solely for the purpose of participating in the Program, shall not disclose it to any third party, and shall protect it with at least the degree of care you use for your own confidential information, and in no event less than reasonable care.

12.3. Exclusions. These obligations do not apply to information that: (a) is or becomes publicly available other than through your breach; (b) you lawfully possessed before receiving it through the Program; or (c) you are required to disclose by law or court order, provided that, where legally permitted, you give Bulk Email Checker prompt prior notice of the requirement.

12.4. Duration. Your obligations under this Section 12 continue during your participation in the Program and after it ends, for as long as the information remains confidential.

13. Sanctions, Anti-Corruption, and Legal Compliance

13.1. Sanctions. You represent and warrant that neither you nor, if you are a business, any of your owners, directors, or officers: (a) is located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive United States sanctions; (b) is identified on the Specially Designated Nationals and Blocked Persons List maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC"), or on any other restricted party list maintained by the United States government; (c) is owned or controlled by any person described in (a) or (b); or (d) is otherwise prohibited by law from receiving payments from a United States person. You shall notify Bulk Email Checker immediately if any of these representations ceases to be true.

13.2. Anti-Corruption and Anti-Money Laundering. You shall comply with all applicable anti-bribery, anti-corruption, and anti-money laundering laws, and shall not use the Program, your Referral Link, or any Commission to conceal the source of funds or to facilitate any unlawful payment.

13.3. Consequences. Bulk Email Checker will not make any payment that it believes may violate applicable sanctions or other law. Bulk Email Checker may withhold any such payment, end your participation in the Program, and report information to the appropriate authorities as required by law.

13.4. General Compliance. You shall comply with all applicable laws and regulations in every activity relating to the Program.

14. Enforcement

14.1. Forfeiture. If you breach Section 9, 10, 12, or 13, all Commission arising from or connected with the breach is forfeited, whether or not the Hold Period has ended.

14.2. Suspension and Removal. Bulk Email Checker may also suspend or remove you from the Program, with or without notice.

14.3. Information Requests. Upon request, you shall promptly provide Bulk Email Checker with information about your promotional methods and traffic sources, including copies of materials in which your Referral Link appears. Bulk Email Checker may withhold withdrawals until a request is satisfied.

14.4. Other Remedies. The remedies in this Section 14 are in addition to Bulk Email Checker's rights under Section 2.4 of the Terms of Service and any other remedy available at law or in equity.

15. Term and Termination

15.1. Term. These Affiliate Terms take effect when you accept them and remain in effect until your participation in the Program ends.

15.2. Withdrawal from the Program. You may withdraw from the Program at any time by sending an email to support@bulkemailchecker.com. On withdrawal, cleared Commission is paid to you and all other earnings and all Referred Customers are forfeited, as provided in Section 15.4.

15.3. Termination by Bulk Email Checker. Bulk Email Checker may suspend or end your participation in the Program at any time, for any reason or no reason, in its sole discretion, with or without notice. Without limiting the foregoing, Bulk Email Checker may remove any Affiliate whose referrals show an elevated rate of refunds, chargebacks, disputes, or suspected fraud, or whose referral traffic converts at a rate that Bulk Email Checker considers unusually low or inconsistent with genuine interest in the Services. If your Bulk Email Checker account is terminated, your participation in the Program ends at the same time.

15.4. Settlement on Exit. If you withdraw from the Program or your participation ends for any reason: (a) Commission that has completed the Hold Period at that time is paid to you in accordance with Section 7, including its withdrawal minimums, so that a cleared amount below the PayPal minimum may be withdrawn only as account credits, except Commission that is reversed under Section 6, forfeited under Section 14, or withheld under Section 13; (b) any Commission still in the Hold Period is forfeited; and (c) your Referred Customers, and all future Commission from them, are forfeited.

15.5. Inactivity. If no Referred Customer has been credited to you within three hundred sixty-five (365) days of your enrollment, your access to the Program ends. You may contact Bulk Email Checker at the address in Section 22 to request reinstatement, which Bulk Email Checker may grant or decline in its sole discretion. Once at least one Referred Customer has been credited to you, your participation continues until you withdraw from the Program or your participation is ended under Section 15.3.

15.6. Changes to the Program. Bulk Email Checker may suspend, modify, or discontinue the Program, in whole or in part, at any time.

15.7. Effect of Termination. When your participation ends, you must promptly stop using your Referral Links and the Bulk Email Checker name. Sections 6, 12, 13, 14, 15.4, and 17 through 21, and any other provisions that by their nature should survive, survive the end of your participation.

16. Modifications

16.1. Amendment. Bulk Email Checker reserves the right to modify, amend, or update these Affiliate Terms and any aspect of the Program at any time in its sole discretion, including Commission rates, the credit conversion rate, withdrawal methods and minimums, the Hold Period, the tracking period, eligibility requirements, and promotional rules. Modified terms shall be posted on this page with an updated effective date. You are responsible for reviewing these Affiliate Terms regularly.

16.2. Commission Already Earned. No modification reduces the rate of Commission already earned, as provided in Section 4.4.

16.3. Acceptance. Your continued participation in the Program following the posting of any changes constitutes acceptance of such changes. If you do not accept a modification, your sole remedy is to withdraw from the Program under Section 15.2.

17. Relationship of the Parties

17.1. Independent Contractor. You participate in the Program solely as an independent contractor. These Affiliate Terms do not create, and shall not be construed to create, any partnership, joint venture, franchise, agency, fiduciary, employment, or representative relationship, or any other relationship of any kind, between you and Bulk Email Checker.

17.2. No Authority. You have no authority to make any statement, representation, warranty, or commitment on behalf of Bulk Email Checker, or to bind Bulk Email Checker in any way.

17.3. Dealings with Prospective Customers. In every dealing with a prospective customer, you must make clear that you are an independent affiliate and that any purchase of the Services is made directly with Bulk Email Checker under the Terms of Service.

17.4. Your Personnel. You are not entitled to any wages, benefits, or other compensation from Bulk Email Checker other than Commission. You are solely responsible for any person you engage to assist with your promotional activities, and for that person's compliance with these Affiliate Terms.

17.5. Costs. You are responsible for all costs and expenses you incur in promoting the Services.

18. Disclaimer of Warranties

18.1. "As Is" Basis. THE PROGRAM, INCLUDING REFERRAL LINKS, TRACKING, REPORTING, AND ALL RELATED SYSTEMS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BULK EMAIL CHECKER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

18.2. No Guarantee of Operation or Earnings. Bulk Email Checker does not warrant that the Program will be uninterrupted, timely, secure, or error-free, or that every click, sign-up, or purchase will be tracked or credited. Bulk Email Checker makes no representation as to the amount of Commission, if any, that you will earn.

18.3. The Services. Section 6 (Disclaimer of Warranties) of the Terms of Service continues to apply to the Services.

19. Limitation of Liability

19.1. Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BULK EMAIL CHECKER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOST COMMISSION, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE PROGRAM, THESE AFFILIATE TERMS, OR THE SUSPENSION OR END OF YOUR PARTICIPATION, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER BULK EMAIL CHECKER WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

19.2. Cap on Liability. BULK EMAIL CHECKER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM OR THESE AFFILIATE TERMS SHALL NOT EXCEED THE TOTAL COMMISSION PAID OR CREDITED TO YOU DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19.3. Essential Purpose. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND REGARDLESS OF THE LEGAL THEORY UPON WHICH DAMAGES MAY BE CLAIMED.

19.4. The Services. Section 7 (Limitation of Liability) of the Terms of Service continues to govern claims relating to your use of the Services.

20. Indemnification

20.1. Affiliate Indemnification. You agree to defend, indemnify, and hold harmless Bulk Email Checker, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your promotional activities and any content in which your Referral Link appears; (b) your breach of these Affiliate Terms; (c) your violation of any applicable law, including anti-spam, consumer protection, advertising, privacy, and sanctions laws; (d) your infringement of any third-party right, including intellectual property rights; or (e) the acts or omissions of any person you engage in connection with the Program.

20.2. Defense of Claims. Bulk Email Checker may assume the exclusive defense and control of any matter subject to indemnification under this Section 20, at your expense, and you shall cooperate fully in that defense. You may not settle any such matter without the prior written permission of Bulk Email Checker.

20.3. Terms of Service. This Section 20 is in addition to your obligations under Section 10 (Indemnification) of the Terms of Service.

21. Governing Law and General Provisions

21.1. Governing Law and Disputes. These Affiliate Terms are governed by Section 12 (Governing Law and Dispute Resolution) of the Terms of Service.

21.2. General Provisions. Section 13 (General Provisions) of the Terms of Service applies to these Affiliate Terms.

21.3. No Transfer. You may not assign, sell, or transfer your participation in the Program, your Referral Code, your Referred Customers, or your Affiliate Balance to any other person.

21.4. Electronic Communications. You consent to receive notices and other communications relating to the Program electronically, including by email to the address on your account and by notices displayed in your account control panel. Such communications satisfy any legal requirement that they be in writing.

21.5. Order of Precedence. In the event of a conflict between these Affiliate Terms and the Terms of Service on a matter concerning the Program, these Affiliate Terms control. In all other respects the Terms of Service control.

21.6. Personal Information. Bulk Email Checker processes the information you provide for the Program, including your PayPal account details and tax information, in accordance with the Privacy Policy.
